AGENT APPLICATION TERMS OF USE

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“Agent User,” “you”) and Connie Health Inc. and its affiliates (“Connie Health,” “Company,” “we,” “our”) governing your access to and use of the Connie Health Agent mobile application (the “App”).
By accessing or using the App, you agree to be bound by these Terms. If you do not agree, you may not use the App.
1. ELIGIBILITY AND AUTHORIZED USE
The App is intended solely for use by:
- Authorized Connie Health employees
- Contractors
- Licensed insurance agents operating on behalf of Connie Health
- You must be at least 18 years of age
You represent and warrant that:
- You are authorized by Connie Health to use the App
- You will use the App only for legitimate business purposes
- You comply with all applicable laws, regulations, and licensing requirements
2. ACCOUNT REGISTRATION AND SECURITY
To access the App, you must maintain an active account.
You agree to:
- Provide accurate and complete information
- Maintain the confidentiality of your login credentials
- Immediately notify Connie Health of any unauthorized access
You are responsible for all activities conducted under your account.
Connie Health reserves the right to suspend or terminate access at any time.
3. PERMITTED USE
Subject to these Terms, Connie Health grants you a limited, non-exclusive, non-transferable, revocable license to use the App solely for internal business purposes.
You may use the App to:
- Manage leads and customer interactions
- Conduct calls and communications
- Perform authorized job-related activities
4. PROHIBITED CONDUCT
You agree NOT to:
- Use the App for any unlawful or unauthorized purpose
- Access or use data outside the scope of your role
- Misuse, disclose, or improperly handle consumer information
- Reverse engineer, decompile, or attempt to extract source code
- Interfere with or disrupt App functionality or security
- Use the App to build competing products or services
- Share login credentials or allowing others to access the App under your account
- Take and store screenshots or screen recordings of consumer data
Violation of this section may result in immediate termination and legal action.
5. CONSUMER DATA AND COMPLIANCE
You acknowledge that your use of the App may involve access to consumer personal information and Protected Health Information (PHI).
You agree to:
- Handle all data in compliance with applicable laws, including HIPAA, CMS regulations, and applicable state and federal privacy and insurance laws
- Follow Connie Health policies and training requirements
- Access only the minimum data necessary to perform your duties
Unauthorized use or disclosure of consumer data is strictly prohibited.
6. COMMUNICATIONS AND CALL RECORDINGS
The App enables communication with consumers, including voice calls.
You acknowledge and agree:
- Calls may be recorded for compliance, quality assurance, and training purposes
- You must comply with all applicable call recording and consent laws
- You will provide required disclosures where applicable
7. INTELLECTUAL PROPERTY
All rights, title, and interest in the App—including software, design, trademarks, and content—are owned by Connie Health or its licensors.
You are granted no ownership rights beyond the limited license described in these Terms.
8. THIRD-PARTY SERVICES
The App may integrate with third-party services (e.g., telephony, cloud hosting).
Connie Health is not responsible for:
- Third-party services or content
- Availability or performance of those services
Your use of such services may be subject to separate terms.
9. TERMINATION
Connie Health may suspend or terminate your access at any time, including if:
- You violate these Terms
- Your relationship with Connie Health ends
- Your access is no longer required
Upon termination:
- Your right to use the App ceases immediately
- You must stop all access and use
- Any locally cached or stored data must be deleted from your device. Connie Health may remotely disable access and remove App data
10. DISCLAIMERS
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE.”
To the fullest extent permitted by law, Connie Health disclaims all warranties, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or reliability
We do not guarantee the App will be:
- Uninterrupted
- Error-free
- Secure at all times
11. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
Connie Health shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of data, revenue, or business opportunities
Our total liability shall not exceed the amount paid (if any) for use of the App.
12. INDEMNIFICATION
You agree to indemnify and hold harmless Connie Health and its affiliates from any claims, damages, or expenses arising from:
- Your use of the App
- Your violation of these Terms
- Your violation of applicable laws or regulations
13. DISPUTE RESOLUTION
These Terms are governed by the laws of the Commonwealth of Massachusetts.
Any disputes shall be resolved through:
- Good-faith informal negotiation first
- Binding arbitration on an individual basis, where permitted
You waive the right to:
- Participate in class actions
- Trial by jury, where applicable
14. CHANGES TO THESE TERMS
We may update these Terms from time to time.
If material changes are made, we will notify you via:
Continued use of the App constitutes acceptance of the updated Terms.
15. GENERAL TERMS
- These Terms constitute the entire agreement regarding the App
- If any provision is found unenforceable, the remainder remains in effect
- You may not assign your rights without Company consent
- Connie Health may assign these Terms freely
